User Agreement

Welcome to Zhile Innovation Technology (Shenzhen) Co., Ltd. This Service Agreement governs your use of our services.

Before accepting this Agreement, you should thoroughly read all its contents and fully understand its terms, especially any restrictive clauses or exceptions. Restrictive clauses or exceptions are highlighted in bold or in other ways to draw your attention. If you have any questions regarding the terms of the Agreement, please contact the relevant business department of Zhile Innovation Technology (Shenzhen) Co., Ltd.

You may not use the service until you have read and accepted all terms of this Agreement, as well as any relevant agreements and rules. Once you select "Agree and Continue" and complete the registration process, or use the service in any form, you will be deemed to have read and agreed to the terms of the Agreement and the above rules.

In the event of any breach of the Agreement, Zhile Innovation Technology (Shenzhen) Co., Ltd. reserves the right to unilaterally restrict, suspend, or terminate your access to the service and to investigate your responsibilities.

The Service Agreement (hereinafter referred to as "the Agreement") is entered into by you and Zhile Innovation Technology (Shenzhen) Co., Ltd. It includes, but is not limited to, the Zhile Innovation Technology (Shenzhen) Co., Ltd. Privacy Policy and other relevant provisions. In the event of any changes, Zhile Innovation Technology (Shenzhen) Co., Ltd. will notify you via a message sent through the licensed software, without further notice. Zhile Innovation will notify you of material changes via email (or in-App message with email reminder) at least 30 days in advance. If you disagree with changes, you may terminate the Agreement without penalty.

If you object to these changes, you should stop using the services of Zhile Innovation Technology (Shenzhen) Co., Ltd.; continued use of the services will be deemed as your acceptance of and agreement to abide by the amended rules.

1. Definitions

1.1 "Licensed Software" refers to the software system developed by Zhile Innovation Technology (Shenzhen) Co., Ltd., which is downloaded, installed, and used on specified mobile terminals.

1.2 "Services" refer to the services provided to you by Zhile Innovation Technology (Shenzhen) Co., Ltd. and its suppliers. You may access and use such services on mobile terminals with the Licensed Software installed.

2. Service

2.1 Zhile Innovation Technology (Shenzhen) Co., Ltd. provides intelligent device management services through the v Control application. By using the application, you may connect to intelligent terminals and the smart platforms of the Company’s suppliers, enabling interconnectivity among devices.

The services include, but are not limited to:

Device management
Scene interlinkage
Analytical reports

The Company may, at its discretion or in response to user needs, optimize, update, or adjust these functions. Service availability may be temporarily suspended due to scheduled or unscheduled maintenance.

3. Scope of Services

3.1 Zhile Innovation Technology (Shenzhen) Co., Ltd. grants you the right to use the product in connection with this software.

3.2 You are prohibited from licensing, selling, leasing, transferring, or distributing the product in any form, or using the product for any other commercial purposes.

3.3 Due to limitations of the software's adaptation to specific platforms and terminal manufacturer, you may only use the Licensed Software on the authorized system platforms and terminals. Installation on other terminal equipment may cause damage to your hardware or software functionality.

3.4 You acknowledge that the Licensed Software may only be used for non-commercial purposes. Any installation, application, or operation of the Licensed Software for commercial purposes is prohibited. If commercial use is required, you must obtain prior written authorization from Zhile Innovation Technology (Shenzhen) Co., Ltd.

3.5 Zhile Innovation Technology (Shenzhen) Co., Ltd. and its suppliers may from time to time modify, upgrade, or transfer the Licensed Software or its related functions, and may add new functions or services to the Licensed Software system. If no separate agreements accompany such new functions or services, you are entitled to use them, and they will also be subject to this Agreement.

3.6 You shall be responsible for the accuracy, reliability, integrity, and legality of the input data, as well as the legality of how you obtain the data, and shall regularly back up your data and information. You shall bear all risks of damage to or loss of such information.

3.7 You shall keep your account number and password secure. In the event of any security breach involving your account (including but not limited to the disclosure of your password), you shall promptly notify Zhile Innovation Technology (Shenzhen) Co., Ltd. and assist in taking appropriate measures. Otherwise, you will be responsible for all activities under your account and bear all related liabilities.

4. Third Parties

4.1 You acknowledge that certain services provided by Zhile Innovation Technology (Shenzhen) Co., Ltd. and its suppliers rely on software or services provided by third parties. These services are intended to facilitate your use, and necessary legal authorization has been obtained from the third parties.

4.2 The product includes certain information and services provided by third parties. Zhile Innovation Technology (Shenzhen) Co., Ltd. and its suppliers neither control nor assume any responsibility for such third-party information or services.

4.3 You acknowledge that:

Zhile Innovation may replace third-party service providers (listed in the Privacy Policy) that comply with GDPR/CCPA, and cannot guarantee the continuity of services from a specific third party;
Third-party privacy policies are independent of this Agreement;
Zhile Innovation shall not be liable for third-party data breaches if we have fulfilled our oversight obligations.

5. Service Application Standards

5.1 You shall use the Licensed Software properly and in accordance with its intended purpose. The following actions constitute a breach of the application standards:

Distribute or share malicious software, including viruses, worms, or code that deliberately damages or alters computer systems or data;
Collect unauthorized information or data from other users, such as email addresses and similar data;
Use the product for malicious automated actions, causing server overload, or interfering with or damaging the web server and network connections in other ways;
Attempt to access server or communication data related to the product without authorization;
Disrupt or damage the production environment or applications of other users.

5.2 You acknowledge and agree that:

Zhile Innovation Technology (Shenzhen) Co., Ltd. will determine whether you have violated the above standards and may suspend or terminate your application license based on the determination, or impose other restrictions in accordance with the Agreement.
Zhile Innovation Technology (Shenzhen) Co., Ltd. will directly delete any information that breaches the law, infringes on others' legal rights, or violates the Agreement when using the licensed software.
If a third party suffers damage due to your breach of the application standards, you shall independently bear legal responsibility and indemnify Zhile Innovation Technology (Shenzhen) Co., Ltd. against any losses or additional expenses incurred. Otherwise, Zhile Innovation Technology (Shenzhen) Co., Ltd. reserves the right to seek compensation.
If Zhile Innovation Technology (Shenzhen) Co., Ltd. and its suppliers suffer any loss due to your breach of relevant laws or the Agreement, you shall compensate Zhile Innovation Technology (Shenzhen) Co., Ltd. and its suppliers for losses and/or expenses incurred as a result.

6. Information Content Standard

6.1 Prohibited Content

You shall not upload/share content that:

Violates intellectual property rights (copyright, trademark, patent)
Constitutes hate speech, discrimination, or incitement to violence
Distributes child pornography or illegal content
Infringes on others' privacy or publicity rights
Violates applicable laws (e.g., GDPR, CCPA, FTC Act)

7. Privacy Policy and Data Protection

It is crucial for Zhile Innovation Technology (Shenzhen) Co., Ltd. to protect your personal information. Zhile Innovation Technology (Shenzhen) Co., Ltd. prepares Zhile Innovation Technology (Shenzhen) Co., Ltd. Privacy Policy, in which contents related to ownership and protection of intellectual property, collection, use, share, storage and protection, etc. of your information are disclosed. You are suggested to thoroughly read Zhile Innovation Technology (Shenzhen) Co., Ltd. Privacy Policy.

7.1 You acknowledge that Zhile Innovation complies with GDPR (Regulation (EU) 2016/679) and CCPA (California Civil Code § 1798.100 et seq.). Details on data collection, use, storage, and transfer are specified in the Privacy Policy.

7.2 You have the right to access, correct, delete your personal data, and request data portability. To exercise these rights, contact support@welgoo.com

7.3 Personal data collected from EU/US users will be transferred outside the EEA/US in compliance with EU Standard Contractual Clauses (SCCs) and the EU-US Data Privacy Framework.

7.4 Zhile Innovation will notify relevant regulators and affected users within 72 hours of discovering a data breach that poses a risk to your rights.

8. Exception Clauses

8.1 Unless otherwise specified in laws and regulations, Zhile Innovation Technology (Shenzhen) Co., Ltd. will do its best to ensure the security, validity, accuracy and reliability of the licensed software and technologies and information involved, but Zhile Innovation Technology (Shenzhen) Co., Ltd. is unable to guarantee the same due to restriction by available technologies nowadays.

8.2 Zhile Innovation shall not be liable for indirect, incidental, or consequential damages, except for damages caused by gross negligence or willful misconduct.

8.3 You shall be responsible for losses caused by:

Unauthorized use of your account due to your failure to protect credentials
Misuse of the Licensed Software beyond intended purposes

8.4 This section complies with the EC Product Liability Directive (85/374/EEC) and applicable US state laws.

8.5 You acknowledge that the use of the smart platform involves Internet services, which may be affected by unstable factors. Despite Zhile Innovation’s safeguard measures, services may be interrupted due to inherent Internet defects or unforeseeable events (listed above). You agree to bear reasonable risks arising therefrom, and Zhile Innovation shall not be liable for direct damages caused by such events, provided that Zhile Innovation has fulfilled its obligation to notify and mitigate losses.

9. Agreement Termination and Breach of Agreement

9.1 You should understand that you shall use the licensed software according to authorization scope, respect intellectual property of software and contents contained in the software, and perform obligations according to the Agreement when using Zhile Innovation Technology (Shenzhen) Co., Ltd.'s services. Zhile Innovation Technology (Shenzhen) Co., Ltd. will terminate the application license if you are in material breach of the Agreement.

9.2 Your application of the software relies on supporting services supplied by Zhile Innovation Technology (Shenzhen) Co., Ltd.'s related companies. Breach of terms, agreements, rules, annunciation and other relevant regulations of Zhile Innovation Technology (Shenzhen) Co., Ltd. and its related companies may cause failure in normal usage of licensed software, in which case, Zhile Innovation Technology (Shenzhen) Co., Ltd. shall be entitled to terminate the application license, or take measures to restrain your application license or other rights and interests controlled by Zhile Innovation Technology (Shenzhen) Co., Ltd. as agreed in the Agreement, including suspension or termination of your application license.

9.3 In case of your breach of the Agreement or other agreements signed with Zhile Innovation Technology (Shenzhen) Co., Ltd., Zhile Innovation Technology (Shenzhen) Co., Ltd. and its suppliers shall have the right to notify the related companies, requiring them to take restrictive measures to your rights and interests, including requiring related companies to suspend or terminate supplying part or whole services for you, and legally announce your breach of agreement on websites run or actually controlled by them.

9.4 The licensed software is downloaded from the downloading platform and you shall abide by stipulations of the download platform, system platform and terminal manufacture on application ways and restrictions of the licensed software. If the above mentioned third party confirms that you are in breach of the agreement and Zhile Innovation Technology (Shenzhen) Co., Ltd. and its supplier's treatment is required, Zhile Innovation Technology (Shenzhen) Co., Ltd. may terminate your application license at the third party's request.

9.5 Termination by User: You may terminate this Agreement at any time via the "Terminate Account" function in the App (accessible in 3 clicks or less). Upon termination:

We will delete your personal data within 30 days (unless required by law to retain it)
Any unused paid services will be refunded pro-rata
You must cease using the Licensed Software and delete all copies

10. Governing Laws and Severability

10.1 Governing Law: This Agreement is governed by the laws of [Delaware, USA] for US users and [Luxembourg] for EU users, excluding conflict of law rules.

10.2 Dispute Resolution: Disputes shall be resolved through arbitration administered by the ICC under its Rules, with seat in [Paris, France]. EU users may also bring claims before their local consumer court (per Recast Brussels Regulation (EU) 1215/2012).

10.3 When any term of the Agreement is judged to be invalid by such court, it will not influence the effectiveness of other terms or any part thereof, and you and Zhile Innovation Technology (Shenzhen) Co., Ltd. shall perform the valid terms in good faith.

11. Children's Privacy

11.1 The Services are not intended for users under 13. We do not knowingly collect personal information from children under 13.

11.2 If you are a parent/guardian and discover your child under 13 has provided personal data, contact us via support@welgoo.com to request deletion

11.3 This section complies with the Children's Online Privacy Protection Rule (COPPA, 16 CFR Part 312).

12. Intellectual Property

12.1 All intellectual property rights in the Licensed Software (code, design, trademarks) belong to Zhile Innovation.

12.2 You retain ownership of content you upload, but grant Zhile Innovation a non-exclusive, global, royalty-free license to use, store, and display such content to provide the Services.

12.3 This section complies with the EU Copyright Directive (2001/29/EC) and US Copyright Act.
